These Terms and Conditions ("Terms") govern your participation as an affiliate ("Affiliate", "you", "your") in the Holiday Vouchers Affiliate Program ("Program"). The Program is a product offering promoted by Internet Marketing Direct Pty Ltd (IMD) in partnership with its partners.
By applying to or participating in the Program, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Definitions
- "IMD": Means Internet Marketing Direct Pty Ltd, its directors, officers, employees, and related entities.
- "Holiday Vouchers": Refers to the products and services sold via the website holidayvouchers.com.au.
- "The Program" or "Holiday Voucher Toolkit": Means the complete product offering, which includes access to the Holiday Voucher digital toolkit, marketing materials, and the physical/digital holiday vouchers themselves.
- "Gross Sales": Means the total amount of money collected from the customer for the purchase of a Holiday Voucher or access to the Toolkit, excluding any refunds, chargebacks, or fraudulent transactions.
- "GST": Means Goods and Services Tax as defined under Australian law.
2. Commission Structure
- Commission Rate: You will earn a commission equal to 40% of Gross Sales generated through your valid affiliate link.
- GST (Australian Residents): If you are an Australian resident and have provided IMD with a valid ABN, your commission payment will be inclusive of the 10% GST. It is your responsibility to manage your own GST obligations with the Australian Taxation Office (ATO).
- International Affiliates: If you are located outside of Australia, you will be paid 40% of the gross amount collected from sales generated through your efforts. Tax residency and reporting are your sole responsibility.
- Payout Method: To receive commissions, you must provide the email address associated with a valid Stripe account. Commissions will be paid via Stripe on [Insert Payment Schedule, e.g., a monthly basis/within 30 days of month end].
- Deductions: Commissions are only paid on sales that have been successfully fulfilled and cleared. No commission is earned on taxes, shipping (if applicable), or amounts collected from refunded transactions.
3. Eligibility and Application
To be eligible for the Program, you must submit an application via our affiliate platform. We reserve the right to reject any application at our sole discretion. By applying, you warrant that all information provided is accurate and complete.
4. Affiliate Obligations and Conduct
As an Affiliate, you agree to act in good faith and with integrity at all times. Specifically, you agree:
- To Be Transparent: You must be clear and transparent with your audience regarding the nature of the affiliate relationship.
- Not to Mislead: You must not engage in misleading or deceptive conduct (as defined by the Competition and Consumer Act 2010 (Cth)). You are solely responsible for any claims or representations you make regarding Holiday Vouchers.
- Compliance with Law: You must comply with all applicable laws, including the Spam Act 2003 (Cth) and the Australian Consumer Law.
5. Acknowledgment of Product Scope and Main Site Terms
By participating in this Program, you acknowledge that the product offering is not just the physical vouchers, but the complete Holiday Voucher Toolkit, which includes access to digital tools and resources.
Furthermore, prior to promoting the Program, you agree to read, understand, and accept all Terms & Conditions listed on the main holidayvouchers.com.au website. You must ensure that your promotional activities do not contradict those terms.
6. Prohibited Practices
The following activities are strictly prohibited. Any breach will result in immediate termination of your affiliate account and forfeiture of any outstanding commissions:
- Coupon and Deal Sites: You are strictly prohibited from posting or advertising your affiliate link, discounts, or offers relating to Holiday Vouchers on coupon websites, voucher code sites, "deal of the day" websites, or similar discount aggregator platforms. This is to protect the brand's value and prevent undercutting of standard marketing practices.
- Bidding on Brand Terms: Bidding on brand terms (e.g., "Holiday Vouchers", "Holidayvouchers.com.au") on search engines (PPC/Google Ads) without explicit written permission.
- Malware: Using spyware, adware, or other invasive software to generate commissions.
- Spam: Promoting the Program via unsolicited bulk email (spam).
- Misrepresentation: Misrepresenting the product or using false advertising to induce a sale.
7. Disclaimer of Liability
To the maximum extent permitted by Australian law:
- No Liability: Internet Marketing Direct Pty Ltd (IMD), its directors, officers, employees, shareholders, and partners (collectively "IMD Parties") shall not be liable for any direct, indirect, incidental, special, or consequential loss or damage arising out of or in connection with your participation in the Program.
- Affiliate Responsibility: You agree that you are acting as an independent entity. The IMD Parties are not responsible for any claims, damages, or losses incurred by you or any third party as a result of your promotional activities. Any legal action taken against you for misleading customers is your sole responsibility.
- Program Modification: IMD reserves the right to modify, suspend, or terminate the Program or these Terms at any time without prior notice. It is the Affiliate’s responsibility to regularly review these Terms to ensure they understand the full terms and conditions of the Program.

9. Termination
IMD reserves the right to terminate any affiliate account immediately if we determine, in our sole discretion, that you have violated these Terms or have acted in a way that harms our brand or customers.
10. Governing Law
These Terms are governed by the laws of Queensland, Australia. You submit to the exclusive jurisdiction of the courts of Queensland.
